The agent as an obliged entity
Real estate agents are obliged entities (art. 2(1)(18) of the AML Act). The only exclusion is brokerage of a lease or tenancy where the monthly rent is below the equivalent of EUR 10,000. On sales there is no threshold: a studio for PLN 300,000 and a warehouse for PLN 30 million carry the same duties. The size of the agency and its legal form do not matter either.
An agent who accepts a cash payment of EUR 10,000 or more is additionally covered as a business accepting cash (art. 2(1)(23)). The categories and exclusions are on the obliged entities page.
The agent's duties in every transaction.
Due diligence applies to the parties — buyer and seller — also when a proxy acts for them.
How it looks today
The agent checks KRS on a phone before the meeting — does the company exist and who represents it. The CRBR is usually skipped as "the notary's job". Where to find sanctions lists, nobody knows; the MSWiA list is a PDF on the ministry's site, the EU list a spreadsheet in English. A risk assessment exists in the procedure but not in the file of the specific transaction.
At a GIIF inspection the agent then has the brokerage agreement, a copy of an ID and nothing else. No proof that the owner or the sanctions lists were checked, or when. The administrative penalties for missing due diligence and records are described on the penalties page.
What the report gives an agent
- One PDF per transaction — the company, its board, shareholders and CRBR owners, sanctions, PEP (after the obliged-entity declaration), bankruptcy and restructuring from KRZ, financial statements. 18 sources, usually in a minute.
- PLN 39.36 is easily absorbed in the commission; in the pack of 5 a report costs PLN 19.68, in the pack of 20 — PLN 14.94.
- An archive in your account — each report with an identifier and timestamp, confirmable on the /verify page. The transaction file is complete from the start.
- Structures with foreign links — a parent from Cyprus, Estonia or the UAE is visible up to two levels, with the country and its risk rating.
- A proposed level of measures (SDD/CDD/EDD) and a list of actions: source of funds, senior management approval, documents of the parent company. The decision is the agent's.
Foreigners and parties from abroad
Acquisition of real estate by a citizen or company from outside the European Economic Area generally requires a permit from the minister of the interior; sanctions since 2022 additionally rule out transactions with persons and entities on the MSWiA and EU lists. The report screens the company and its owners against those lists and shows the owner's country. It does not screen natural persons as parties — you verify a person with a document and establish foreigner status under the real estate acquisition rules. List details: sanctions lists.
An example from practice
The buyer of commercial premises is an sp. z o.o. whose sole shareholder is a Cypriot company; the CRBR names a beneficial owner with Russian citizenship.
| Domain | Finding | Points |
|---|---|---|
| II Structure and UBO | Owner from a country under sectoral sanctions | +20 |
| II Structure and UBO | Foreign shareholder, multi-level structure | +15 |
| III Sanctions and PEP | No name hits | 0 |
Score: 35/100, proposed EDD. Actions: source of the owner's wealth, registry documents of the parent, senior management approval. The agent documents this in the file before the preliminary contract, not after a question from the GIIF.
