When a law firm is an obliged entity
Notaries are obliged entities for acts concerning, among others, transfer of real estate, sale of a business, sale of shares, formation and operation of companies and management of client funds (art. 2(1)(13)). Attorneys, legal advisers, foreign lawyers and tax advisers are covered when they take part, on a client's behalf, in planning or carrying out such transactions or act as trustees (art. 2(1)(14)). Drafting a legal opinion or litigating a dispute is outside that scope.
The duty does not depend on the value of the act: a sale of 5% of a small company is covered just like the sale of an office building. The categories are discussed on the obliged entities page.
The firm's duties for a covered act.
Due diligence is applied before the act — to the parties and to those acting on their behalf.
How it looks today
A trainee pulls a KRS extract and a CRBR filing, prints them and files them. Sanctions lists are checked "by eye" by surname in the MSWiA search — without proxies, without the parent's shareholders, without a list version. A discrepancy between the CRBR and KRS is noticed only if someone compares both lists by hand. The risk assessment is a signature on the client card.
At a GIIF inspection the firm cannot show exactly whom it checked, when and against which list. How an inspection runs and what the inspector asks — on the GIIF inspection page.
What the report gives a law firm
- The ownership structure with foreign links — shareholders from KRS, owners from the CRBR, the parent with its country, up to two levels. Persons whose KRS data is masked are marked as not screened automatically.
- Every person on the lists — board, proxies, shareholders, owners: OpenSanctions with the MSWiA list, the EU list, OFAC SDN, KNF warnings. The report records the date and time of the check; after the obliged-entity declaration it shows PEP and RCA status.
- A draft discrepancy notice to the CRBR when the registered owner does not match the KRS shareholder list. More: beneficial owner.
- A proposed level of measures (SDD/CDD/EDD) and actions to take — for the client card. The decision is the notary's or the lawyer's.
- A PDF with an identifier and a timestamp for the case file; confirmable on the /verify page.
An example from a law practice
A share transfer agreement. The buyer is a company whose CRBR filing names a different beneficial owner than the KRS shareholder list implies.
| Domain | Finding | Points |
|---|---|---|
| II Structure and UBO | CRBR owner differs from the majority shareholder in KRS | +20 |
| I Identification | Last CRBR filing older than the shareholder change in KRS | +10 |
| III Sanctions and PEP | No hits | 0 |
Score: 30/100, proposed EDD. Actions: clarify the discrepancy with the client, report to the CRBR (draft in the report), senior management approval. The firm has proof that it established the owner and reacted to the discrepancy — before the act, not after.
Proxies and people outside the registers
The report screens the people who appear in the registers: board, proxies, shareholders and owners. A proxy named only in the notarial deed must be checked separately with an identity document; foreign companies, beyond the validity of an EU VAT number in VIES, are not covered. We say this plainly, because a case file cannot contain more than was actually checked.
Legal status as of October 2026. Informational material, not legal advice.
