Leasing and factoring under the AML Act
Businesses providing leasing and factoring are among the obliged entities listed in art. 2(1) of the AML Act — as financial institutions providing financing. The duties are the same as a bank's, without a bank's compliance infrastructure: due diligence before the contract, client risk assessment, ongoing monitoring, reports to the GIIF and sanctions screening at every disbursement.
What sets both industries apart is the number of entities to check. In leasing one contract means a lessee and often a guarantor; in factoring — the client and each of its debtors, since repayment depends on them. With a portfolio of several hundred contracts manual checking stops being feasible.
Duties of a financing institution.
Due diligence applies to the client; to its debtors — as part of the risk assessment and transaction monitoring.
How it looks today
The analyst checks the factoring client in KRS, the white list and the CRBR, and the debtors — only in KRS, because there are twelve of them. Sanctions lists are checked once, when the limit is opened, although disbursements run weekly. In leasing a corporate guarantor is often skipped. The documentation is screenshots without a list version or a time.
What the report gives a leasing or factoring company
- Fast screening of many entities — one report per NIP, usually in a minute, at most three. A pack of 100 reports with no expiry for PLN 998.76 is PLN 9.99 per entity; enough for dozens of clients with their debtors.
- The financial domain — revenue, result, equity and filing dates from e-Sprawozdania; bankruptcy, restructuring and liquidation from MSiG and KRZ. For a factor this is the first sign a debtor will not pay. See KRZ.
- Sanctions for the company and its people — board, proxies, shareholders, CRBR owners against OpenSanctions (with the MSWiA list), the EU list and OFAC SDN; KNF warnings. PEP and RCA status after the obliged-entity declaration. Details: sanctions lists.
- Ownership structure up to two levels — corporate shareholders and the parent with its country; CRBR/KRS discrepancies marked.
- A 0–100 score and a proposed level of measures (SDD/CDD/EDD) with a list of actions — one input to the decision system. The credit decision stays with the institution.
- A PDF with an identifier and a timestamp for the contract file, confirmable on the /verify page.
An example from a factor's practice
A client submits receivables against 12 debtors for financing. The analyst runs 13 reports from the pack.
| Entity | Finding | Score |
|---|---|---|
| Factoring client | Statements on time, transparent structure | 10/100 |
| Debtor no. 4 | Restructuring proceedings in KRZ, opened 2 months ago | 55/100 |
| Debtor no. 9 | A shareholder on the MSWiA list | 100/100 |
| The other 10 | No material findings | 0–15/100 |
Receivables against debtor no. 4 go to exclusions, debtor no. 9 blocks financing of that part and triggers a report. Working time: a quarter of an hour instead of a day.
What the report does not do — and what is planned
The report does not show trade debts from BIG or KRD — only proceedings from KRZ and MSiG; a check with the credit information bureaus remains a separate step. Today you enter each NIP separately; CSV import of a NIP list, an API for decision systems and monitoring with alerts on changes in KRS, KRZ and the lists are planned — if you need them sooner, write to us. Re-check rules are on the counterparty monitoring page.
